2. Acceptance of Terms

By engaging our services, submitting an inquiry through our website, or using our website in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services or website.

Clients must be at least 18 years of age and have the legal capacity to enter into binding agreements under Vietnamese law. For corporate clients, the person engaging our services represents that they have authority to bind the entity to these terms.

3. Service Description

Quorvex provides legal services related to real estate and property matters in Vietnam, specifically:

• Property title verification and due diligence
• Property transaction and transfer assistance
• Land use dispute resolution and boundary advisory

Services are provided in accordance with Vietnamese legal practice standards and are subject to applicable laws, regulations, and professional ethical requirements. Service availability and scope may vary based on the specific circumstances of each case.

4. Client Responsibilities

Clients engaging our services agree to:

• Provide accurate, complete, and truthful information relevant to the legal matter
• Supply all requested documentation in a timely manner
• Respond to communications from our team within reasonable timeframes
• Pay agreed fees and expenses according to the terms established at engagement
• Inform us immediately of any material changes to circumstances affecting the case
• Maintain confidentiality of our legal advice and work product
• Follow our guidance regarding legal procedures and administrative requirements

Failure to fulfill these responsibilities may affect our ability to provide services effectively and could result in delays, additional costs, or unsatisfactory outcomes.

5. Service Fees and Payment Terms

Legal service fees are outlined during initial consultation and confirmed in a written engagement letter. Our fee structure includes:

Fixed Fees

Title verification and standard transaction assistance are provided at fixed fees as published on our website and confirmed at engagement. Fixed fees cover the defined scope of work and do not include additional expenses.

Scope-Based Fees

Dispute resolution services are priced based on case complexity and estimated time requirements. Fees are established after an initial assessment and confirmed in the engagement letter.

Additional Expenses

Clients are responsible for expenses beyond legal fees, including notarization costs, land office registration fees, transfer taxes, translation services, surveyor fees, and document courier costs. These expenses are estimated during consultation and billed as incurred.

Payment Schedule

Payment terms are specified in the engagement letter. Typical arrangements include advance payment for fixed-fee services, periodic billing for ongoing matters, or payment upon completion for brief engagements. Accepted payment methods include bank transfer to our designated account or cash payment at our office.

Late Payment

Invoices are due within the period specified on the invoice, typically 15 days from issuance. Late payments may incur interest charges at the rate permitted under Vietnamese law. We reserve the right to suspend services for accounts with overdue balances.

6. Intellectual Property

All content on our website, including text, graphics, logos, and design elements, is the property of Quorvex or our licensors and is protected by Vietnamese and international intellectual property laws. You may view and download website content for personal, non-commercial use only.

Legal documents, analyses, and advice prepared for clients remain the intellectual property of Quorvex, though clients receive a limited license to use this work product for the purposes related to their legal matter. Clients may not reproduce, distribute, or commercialize our work product without written permission.

7. Disclaimers

Service Provided "As Is": Our legal services are provided based on current Vietnamese law, our professional knowledge, and the information supplied by clients. We cannot provide absolute assurances about legal outcomes, administrative processing times, or decisions by government authorities.

No Guarantees of Results: While we work diligently on behalf of clients, we do not provide assurances about specific results, transaction completion timelines, or dispute resolution outcomes. Legal matters involve multiple parties and authorities whose actions we cannot control.

Professional Advice Only: Our services constitute professional legal advice for the specific matters we are engaged to address. This advice should not be construed as financial counseling, tax planning, or investment recommendations. Clients should consult appropriate specialists for matters outside the scope of property law.

Information on our website is general in nature and does not constitute legal advice for any particular situation. Visitors should not rely on website content as a substitute for professional consultation regarding their specific circumstances.

8. Limitation of Liability

To the maximum extent permitted under Vietnamese law, Quorvex's liability for any claims arising from our services is limited to the fees paid by the client for the specific service giving rise to the claim.

We are not liable for indirect, consequential, incidental, or special damages, including lost profits, business interruption, or property value changes, even if we have been advised of the possibility of such damages.

This limitation does not apply to liability for intentional misconduct, gross negligence, or matters that cannot be limited by law under Vietnamese legal practice regulations.

9. Indemnification

Clients agree to indemnify and hold Quorvex, our practitioners, and staff harmless from any claims, damages, liabilities, or expenses arising from:

• False or incomplete information provided by the client
• Failure to disclose material facts relevant to the legal matter
• Actions taken contrary to our legal advice
• Breach of these Terms and Conditions by the client

10. Confidentiality

We maintain strict confidentiality of all client information in accordance with Vietnamese legal professional standards. Information shared with us is protected by attorney-client privilege and will not be disclosed to third parties except:

• With your explicit consent
• When required for service delivery (such as filing documents with land offices)
• As mandated by law, court order, or regulatory requirement
• To prevent imminent harm or illegal activity

Clients must also maintain confidentiality of our legal advice and work product, using it solely for the purposes of their legal matter.

11. Termination

By Client: Clients may terminate our services at any time by providing written notice. Upon termination, clients remain responsible for fees and expenses incurred up to the termination date, plus reasonable costs for concluding the engagement.

By Quorvex: We may terminate services if the client fails to pay fees, breaches these terms, provides false information, or if continuing representation would violate professional ethical standards. We will provide reasonable notice when circumstances permit.

Upon termination, we will provide the client with files and work product completed to date, subject to settlement of outstanding fees.

12. Dispute Resolution

These Terms and Conditions are governed by the laws of Vietnam. Any disputes arising from our services or these terms will be subject to the jurisdiction of Vietnamese courts.

Before pursuing formal legal action, parties agree to attempt resolution through good-faith negotiation. If negotiation does not resolve the dispute within 30 days, either party may pursue remedies through Vietnamese courts or agreed-upon alternative dispute resolution procedures.

For disputes involving service fees of less than 50 million VND, parties agree to first attempt mediation through the Hanoi Bar Association's dispute resolution process.

13. General Provisions

Entire Agreement: These Terms and Conditions, together with our engagement letter and Privacy Policy, constitute the complete agreement between client and Quorvex regarding legal services. They supersede all prior discussions, representations, or agreements.

Severability: If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full effect.

Waiver: Failure to enforce any provision does not constitute waiver of our right to enforce that provision or other provisions in the future.

Assignment: Clients may not transfer or assign their rights or obligations under these terms without our written consent. We may assign our rights and obligations to successor legal practices with notice to clients.

Notice: All notices under these terms must be provided in writing to the addresses specified in the engagement letter or as updated by either party.

14. Changes to Terms

We may update these Terms and Conditions periodically to reflect changes in our practices, legal requirements, or service offerings. Updated terms will be posted on our website with a revised "Last Updated" date.

For existing client engagements, material changes to terms will be communicated directly. Continued use of our services following notification of changes constitutes acceptance of the revised terms.
